PROFESSIONAL EXPERIENCE
Tyler Savage serves clients in various merger, acquisition, securities and private equity transactions, as well as general corporate and contracting matters. His experience includes:
- Counseling clients and drafting documents with respect to all facets of the formation, ownership, operation, transfer, and termination of business entities.
- Advising clients, ranging from newly formed entities to public companies, on general corporate matters, including contractual issues, securities, venture capital and commercial financing matters.
- Drafting and negotiation of various contracts and agreements including employment agreements, consulting agreements, independent contractor agreements, distribution and supply contracts, confidentiality and non disclosure agreements, joint venture agreements, management agreements, shareholder agreements and operating agreements.
- Representing purchasers and sellers of businesses in drafting and negotiating acquisition related agreements, including asset purchase agreements, stock purchase agreements, merger agreements and various other transactional documents.
- Representing a publicly traded company in connection with more than five acquisitions, with purchase prices ranging from approximately $8,000,000 to more than $40,000,000.
- Assisting publicly traded company in the sale of two majority owned, publicly traded subsidiaries.
- Representing public and private clients in the preparation and negotiation of various agreements and documents affecting the offering and sale of corporate securities.
- Representing issuers in connection with private placements of securities, including offerings under Regulation D.
- Representing venture capital fund in connection with investments in developing companies.
- Assisting public companies with respect to compliance under the Securities Act of 1933 and the Securities Exchange Act of 1934.
